Netrisk provides a third-party risk management platform that monitors external security posture through passive observation and publicly available data. Our Services include:

• Continuous vendor risk monitoring and scoring
• External exposure scanning and detection
• Shadow IT discovery
• Compliance reporting and evidence collection
• Integration with identity, infrastructure, and workflow tools
• Alerting and notification capabilities

Account Registration

To use our Services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring users comply with these Terms

Acceptable Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble the platform
• Scrape, copy, or redistribute data without permission
• Use the Services to harm, harass, or violate others' rights

Data Collection and Use

Our Services collect data through passive external monitoring. You acknowledge that:

• We collect publicly available information about third parties without their direct consent
• Risk scores are based on external signals and may not reflect complete security posture
• You are responsible for how you use risk data and reports
• Data accuracy depends on the availability of external sources
• Our monitoring is read-only and does not modify any systems

Subscription and Payment

Services are provided on a subscription basis. By subscribing, you agree to:

• Pay all fees according to your selected plan
• Automatic renewal unless cancelled before the renewal date
• No refunds for partial subscription periods
• Price changes with 30 days' notice
• Suspension of access for non-payment

Intellectual Property

Netrisk retains all rights, title, and interest in the Services, including all software, algorithms, designs, and content. You receive a limited, non-exclusive, non-transferable license to use the Services during your subscription. You retain ownership of your submitted data, but grant us a license to use it for providing and improving the Services.

Disclaimers and Limitations

The Services are provided "as is" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free operation
• Complete accuracy of risk assessments
• Prevention of security breaches or incidents
• Compliance with specific regulatory requirements
• Availability of all integrations at all times

To the maximum extent permitted by law, Netrisk shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption. Our total liability is limited to the fees paid in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold Netrisk harmless from claims arising from your use of the Services, violation of these Terms, or infringement of any rights of third parties.

Termination

Either party may terminate the subscription with notice. We may suspend or terminate access immediately for:

• Breach of these Terms
• Non-payment of fees
• Illegal or harmful activity
• Risk to platform security or other users

Upon termination, your access will cease, and we may delete your data after a retention period.

Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance. If you disagree with changes, you may terminate your subscription.

Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where Netrisk is incorporated. Disputes shall be resolved through binding arbitration, except where prohibited by law. You waive any right to class action proceedings.
